"Corthane", "We", "Us", "Our"refers to the legal practice operating under the name Corthane, based in Johor Bahru, Malaysia.
"Client", "You", "Your"refers to any individual or entity that accesses this website or engages Corthane for legal services.
"Services"means the legal services offered by Corthane including, but not limited to, contract drafting, regulatory compliance review, and civil litigation support.
"Website"means the Corthane website accessible at corthane.biz and any subpages thereof.
"Content"refers to all text, documents, materials, and information made available through this Website.

2. Acceptance of Terms


By using this Website or engaging our Services, you confirm that:

  • You are at least 18 years of age and have the legal capacity to enter into a binding agreement

  • If acting on behalf of a company or other legal entity, you have the authority to bind that entity to these terms

Corthane provides legal services to commercial and individual clients in Malaysia. Our principal service areas include:

Contract Drafting

Preparation of tailored commercial agreements, memoranda of understanding, and service-level contracts in accordance with Malaysian contract law.

Regulatory Compliance Review

Systematic examination of business operations against applicable Malaysian regulations, producing detailed compliance reports and follow-up consultation.

Civil Litigation Support

Representation and advisory support through civil proceedings in Malaysian courts, from pre-action correspondence through to post-judgment matters.

Service availability is subject to conflict-check clearance and the firm's capacity at the time of enquiry. Geographic scope is limited to matters governed by Malaysian law, unless otherwise agreed in writing.

4. User Responsibilities


When using this Website, you agree not to:

  • Use the Website for any unlawful purpose or in a manner that contravenes applicable Malaysian legislation
  • Attempt to gain unauthorised access to any part of the Website or its underlying systems
  • Submit false, misleading, or fraudulent information through any form or communication channel

5. Client Engagement


A formal solicitor-client relationship with Corthane is only established upon:

  • Completion of our conflict-of-interest check
  • Issuance and countersignature of a formal engagement letter setting out scope, fees, and terms
  • Receipt of any required deposit or retainer payment

Submission of an enquiry through our website or exchange of preliminary correspondence does not constitute the formation of a solicitor-client relationship. Advice rendered before formal engagement is general in nature and should not be relied upon as advice pertaining to a specific matter.

6. Fees & Payment


Fee Structure: Fees are set out in the engagement letter and are denominated in Malaysian Ringgit (MYR). Indicative fees displayed on our website are subject to variation based on the specific scope and complexity of each matter.

Payment Terms: Invoices are payable within 14 days of the invoice date unless otherwise stated. For certain services, a deposit equivalent to 50% of the estimated fee is required before work commences.

Accepted Methods: Payment may be made by bank transfer to our client account, as detailed in the engagement letter. Corthane does not accept cash for transactions exceeding MYR 3,000.

Late Payment: Overdue amounts may attract interest at the rate prevailing under the Civil Law Act 1956, and Corthane reserves the right to suspend work on a matter until outstanding invoices are settled.

Disbursements: Out-of-pocket expenses incurred on your behalf — such as court filing fees, search fees, and professional translation costs — are billed separately and are payable upon demand.

Refunds: Fees for work already performed are generally non-refundable. Where an engagement is terminated before completion, Corthane will invoice for work done to date and return any balance of funds held in the client account.

7. Intellectual Property


All content on this Website — including text, layout, logos, and design elements — is the property of Corthane and is protected by Malaysian copyright and intellectual property law.

You are granted a limited, non-exclusive, non-transferable licence to access and view the Website for personal, non-commercial information purposes only. This licence does not permit reproduction, modification, distribution, or creation of derivative works without prior written permission.

Documents and materials we prepare for you in the course of an engagement remain subject to copyright. Upon full payment, you receive a licence to use those documents for the purposes for which they were prepared. Ownership of the underlying work product remains with Corthane unless otherwise agreed in the engagement letter.

8. Confidentiality


Corthane maintains strict professional confidentiality in relation to all client matters, consistent with the obligations imposed by the Legal Profession Act 1976 and the rules of professional conduct governing advocates and solicitors in Malaysia.

We will not disclose information about your matter to third parties except where required by law, court order, or with your express written consent. Our confidentiality obligations survive the termination of any engagement.

9. Disclaimers

10. Limitation of Liability


To the fullest extent permitted by Malaysian law:

  • Corthane's aggregate liability arising from or in connection with any matter shall not exceed the total fees paid by the Client for the specific service giving rise to the claim
  • Corthane is not liable for indirect, consequential, or special losses including loss of business opportunity, loss of profits, or reputational damage
  • Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other matter that cannot be excluded by law

11. Indemnification


You agree to indemnify and hold Corthane, its solicitors, employees, and agents harmless from any claims, liabilities, damages, and costs (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your use of the Website in violation of applicable law; or (c) inaccurate or incomplete information you provided in connection with an engagement.

12. Termination


Either party may terminate an engagement by providing written notice. Termination does not affect obligations that have already arisen:

  • Fees for work completed to the date of termination remain payable
  • Corthane will comply with its professional obligations regarding file transfer and handover
  • Confidentiality obligations and any accrued rights survive termination

Corthane reserves the right to withdraw from a matter without cause, subject to providing reasonable notice and complying with court filing obligations and professional conduct rules.

13. Dispute Resolution


These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising under or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the courts of Johor, Malaysia.

Before commencing formal proceedings, the parties agree to attempt to resolve disputes informally by notifying the other party in writing and engaging in good-faith discussions for a period of 30 days.

Fee disputes may also be referred to the Johor Bar Committee for mediation, consistent with the Legal Profession Act 1976.

14. General Provisions


Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties in respect of the subject matter and supersede all prior representations or understandings.

Severability: If any provision is found to be unenforceable, it shall be modified to the minimum extent necessary to make it enforceable. The remaining provisions shall continue in full force.

Waiver: Failure to exercise any right under these Terms shall not constitute a waiver of that right on any future occasion.

Assignment: You may not assign your rights under these Terms without Corthane's prior written consent. Corthane may assign its rights in connection with a firm merger or restructuring.

Notices: Formal notices under these Terms shall be in writing and delivered by email to the address specified in the engagement letter or to [email protected].

15. Changes to Terms


Corthane may revise these Terms from time to time. Any changes will be reflected on this page with an updated "Last Updated" date. For existing clients, material changes will be communicated by email at least 14 days before they take effect. Continued use of the Website or ongoing engagement with Corthane following that notice period shall constitute acceptance of the revised terms.
